End User Terms of Service

Effective Date: July 17, 2026

What this is: These End User Terms ("Terms") apply to you as an individual when you use Weorda. If your company or organization uses Weorda, this is your personal agreement with us — separate from the agreement between Weorda and your employer or organization.

If you are a parent, guardian, or caregiver using the Weorda Parents mobile application to follow your child's transportation, your use of that app is governed by the Weorda Parents App Terms of Use at weorda.com/parents-terms, not by these Terms.

If you are signing up on behalf of a company or organization (for example, to start a paid Weorda subscription for your bus operation, home care agency, or other business), additional terms apply. See the Terms of Service at weorda.com/terms.

THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND A CLASS ACTION WAIVER (SECTION 11). PLEASE READ CAREFULLY.

1. About These Terms

1.1 These Terms form a binding legal agreement between you ("you" or "your") and YPA Group Inc., a Delaware corporation doing business as Weorda ("Weorda," "we," "us," or "our").

1.2 These Terms apply to your individual use of the Weorda mobile application, website at weorda.com, and related services (the "Service").

1.3 If you are an employee, contractor, or other authorized user of an organization that uses Weorda (an "Operator"), these Terms govern your personal use of the Service. Your work relationship with that Operator is governed by your separate agreement with them, not by these Terms.

1.4 By creating an account, clicking "I agree," or using the Service, you confirm you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

1.5 Electronic acceptance through the click-through process is equivalent to a handwritten signature under the Electronic Signatures in Global and National Commerce Act and applicable state law.

2. Eligibility and Your Account

2.1 You must be at least 18 years old to create a Weorda account.

2.2 You must provide accurate and complete information when registering. You agree to keep your account information up to date.

2.3 You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Do not share your password or let anyone else use your account.

2.4 If you believe your account has been compromised, notify us immediately at support@weorda.com.

2.5 Your account is personal to you. If you change employers, your account remains yours, although your access to data and features connected to a particular Operator ends when that Operator removes you from their organization.

3. Your Role Within an Organization

3.1 If you join an Operator's organization in Weorda — for example, as a driver, aide, dispatcher, office administrator, or other authorized user — your use of the Service is subject to your Operator's instructions and policies, in addition to these Terms.

3.2 When you use the Service in connection with your Operator's organization, the data generated by your activity — including check-ins, check-outs, location data (where enabled), timestamps, inspection records, photos, and communications — is processed on behalf of your Operator. Your Operator controls this data, not Weorda. Weorda processes it as a service provider to your Operator.

3.3 You should direct questions about how your work data is used, retained, or accessed within your Operator's organization to your Operator (typically your employer or supervisor).

3.4 Your Operator is responsible for informing you about workplace monitoring, location tracking, and data collection practices that apply to your work. Weorda's role is limited to providing the software platform.

4. No Employment Relationship

4.1 Weorda is a software platform, not your employer. Nothing in these Terms or your use of the Service creates an employment, agency, partnership, joint venture, or joint employer relationship between you and Weorda.

4.2 Weorda does not pay your wages, set your hours, supervise your work, hire or fire you, or control the manner or means of your work. Those decisions are made solely by your Operator (your employer or the party that engages your services).

4.3 Weorda does not have the authority to direct, instruct, discipline, or supervise you in any way. The Service is a tool used by your Operator to manage their operations.

4.4 Any disputes regarding your employment, compensation, working conditions, or other workplace matters are between you and your Operator, not Weorda.

5. Acceptable Use

5.1 You agree to use the Service only for lawful purposes and in compliance with these Terms, your Operator's policies, and all applicable laws.

5.3 Weorda may suspend or terminate your account, with or without notice, if you violate this Section or if your use of the Service creates risk for Weorda, your Operator, or other users.

6. Mobile Application — Permissions and Features

6.1 The Weorda mobile application may request the following permissions on your device. These permissions are used to provide the Service:

6.1.1 Location

Used for route check-ins, inspection geotagging, attendance verification, and other features that require location to function. You can control location permissions through your device settings. Disabling location may limit your ability to use certain features.

6.1.2 Camera and Photos

Used to take and upload photos as part of inspections, incident reports, and other workflows that require photographic verification.

6.1.3 Push Notifications

Used to send you reminders about required tasks, alerts about route or shift changes, and other operational notifications. You can control notifications through your device settings.

6.1.4 Phone and Contacts

Used to enable tap-to-call functionality for authorized operational contacts (such as parents or guardians of students you transport). The app does not store or upload your personal contacts.

6.1.5 Storage and Offline Sync

Used to enable offline use of the app. Data entered while offline is securely stored on your device and synced when connectivity is restored.

6.2 You may revoke device permissions at any time through your device settings. Doing so may limit certain features of the Service.

6.3 The Service may include an SOS or emergency reporting feature. This feature is a communication tool only and is NOT an emergency response system. Do not rely on it in place of calling 911 or your local emergency services.

7. Communications from Weorda

7.1 By creating an account, you consent to receive transactional communications from Weorda by email, SMS, or push notification, including account verification, security alerts, service announcements, and operational notices.

7.2 You may opt out of marketing communications at any time by clicking the unsubscribe link in marketing emails or by emailing privacy@weorda.com. You cannot opt out of transactional communications while your account is active.

7.3 Standard message and data rates may apply to SMS messages sent or received through the Service.

8. Your Privacy and Data Rights

8.1 Our Privacy Policy, available at weorda.com/privacy, explains how Weorda collects, uses, and protects information about you. The Privacy Policy is part of these Terms by reference.

8.2 If you have questions or wish to exercise rights regarding your personal information collected by Weorda directly (such as your account profile or usage data), contact privacy@weorda.com.

8.3 For data uploaded by an Operator about your work activity (such as routes assigned to you, schedules, supervisor records), your rights are generally exercised through your Operator. We will assist your Operator in responding to such requests.

9. Account Suspension and Termination

9.1 You may delete your Weorda account at any time by visiting your account settings or emailing support@weorda.com.

9.2 Weorda may suspend or terminate your account, with or without notice, if (a) you violate these Terms, (b) we are required to do so by law, (c) your account creates security or safety risks, or (d) your account is inactive for an extended period.

9.3 If your Operator removes you from their organization (for example, because your employment ends), you lose access to that Operator's data within the Service, but your individual Weorda account remains unless you choose to delete it or we terminate it under Section 9.2. You may join a new Operator's organization in the future using the same account if you choose.

9.4 Sections that by their nature survive termination (including Sections 4, 5, 10, 11, 12, and 13) shall survive.

10. Disclaimers and Limitation of Liability

10.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. WEORDA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING.

10.2 WEORDA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.

10.3 TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEORDA'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

10.4 IN NO EVENT SHALL WEORDA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST WAGES, LOST DATA, OR PERSONAL INJURY (EXCEPT WHERE PROHIBITED BY LAW).

10.5 The limitations in this Section 10 apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise. The limitations do not apply where prohibited by applicable law.

11. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

11.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

11.2 Informal Resolution First

Before filing a claim, you agree to try to resolve disputes informally by contacting legal@weorda.com. We will attempt to resolve your concern within 60 days of receiving your notice.

11.3 Mandatory Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through final and binding individual arbitration. Arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules, by videoconference where practical. The arbitrator's decision is final and binding.

11.4 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL DISPUTES SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

11.5 Opt-Out

You may opt out of the arbitration provision and class action waiver by emailing legal@weorda.com within thirty (30) days of creating your account, stating your name and intent to opt out. Opting out does not affect any other provision of these Terms.

11.6 Carve-Outs

You may bring an individual claim in small claims court instead of arbitration. Either party may seek injunctive relief in court for actual or threatened infringement of intellectual property rights.

11.7 Employment-Related Claims

Nothing in this Section is intended to apply to or limit any employment-related claims you may have against your Operator (such as wage, hour, discrimination, or workplace safety claims). Those claims are between you and your Operator and are governed by the law of your employment relationship, not these Terms.

12. Modifications to These Terms

12.1 Weorda may update these Terms from time to time. We will post the updated Terms at weorda.com/end-user-terms with a new "Last Updated" date. For material changes, we will provide additional notice (such as by email or a notice in the app) at least thirty (30) days before the changes take effect.

12.2 Continued use of the Service after the effective date of changes constitutes acceptance. If you do not accept material changes, you may delete your account before the effective date.

13. General Provisions

13.1 Assignment. You may not assign these Terms. Weorda may assign these Terms in connection with a merger, acquisition, sale of assets, or operation of law.

13.2 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Weorda regarding your individual use of the Service.

13.3 Severability. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

13.4 No Waiver. The failure to enforce any provision does not waive that or any other provision.

13.5 Notices. Notices to Weorda shall be sent to legal@weorda.com. Notices to you shall be sent to the email address associated with your account.

13.6 Export Control. You represent that you are not located in any country subject to U.S. trade sanctions and are not listed on any U.S. government list of restricted parties.

13.7 Force Majeure. Weorda is not liable for delays caused by events beyond reasonable control, including network failures, natural disasters, or governmental actions.

13.8 Headings. Section headings are for convenience only.
